Terms of Service

1. Account Registration

To use Nelson OS, you must:

• Be at least 16 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

2. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, spam, or harmful content
• Attempt to gain unauthorized access to systems
• Interfere with or disrupt the Service
• Use the Service for illegal marketing or spam
• Impersonate others or provide false information
• Store or process data in violation of privacy laws

3. Your Data and Content

Ownership: You retain all rights to the data and content you upload to Nelson OS. We do not claim ownership of your content.

License: By using the Service, you grant us a limited license to process, store, and display your content solely to provide the Service to you.

Responsibility: You are solely responsible for the accuracy, quality, and legality of your data and content.

Backups: While we implement reasonable backup procedures, you are responsible for maintaining your own backups of critical data.

4. Payment Terms

If you subscribe to a paid plan:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• Failed payments may result in service suspension
• You are responsible for applicable taxes

Free tier users may be subject to usage limitations as described in our pricing page.

5. AI Features and Processing

Nelson OS includes AI-powered features ("Nelson AI") to enhance your productivity:

• AI features process your data to provide insights and suggestions
• AI-generated content may not always be accurate – verify important information
• You can record an AI-processing objection in Privacy & Data and disable AI features available to your role; some requested AI workflows cannot operate without processing their inputs
• Nelson OS does not intentionally use Customer content to train a Nelson-owned general-purpose model; third-party processing remains governed by the applicable provider and Customer terms
• AI features are provided "as is" without guarantees of accuracy

5A. Google Calendar Connection

You may connect a Google account and select calendars for Nelson to import and use for schedule visibility and availability checks. By connecting, you authorize Nelson to use the permissions shown on Google's consent screen for the purposes described in our Privacy Policy. When event updates are available, connecting also requests permission to manage events. If you grant it, Nelson may create, update, and cancel events created through Nelson on an enabled writable Google calendar, including bookings and other eligible scheduling records. A read-only connection remains available where event updates are not enabled or permission is not granted.

You are responsible for selecting calendars you have authority to connect and for the accuracy of booking details and attendee information you provide. Calendar sync, free/busy checks, and event delivery depend on Google access, permissions, network availability, and configuration. Confirm important bookings and attendee notifications with the people involved; a Nelson booking or sync status alone does not establish that an invitation was delivered.

You can disconnect Calendar in Nelson Settings or revoke access in your Google Account. Disconnecting ends future access through Nelson's stored connection. An optional purge removes imported event copies and selected calendar-source records for your connected user from Nelson; it does not delete events held by Google or Nelson booking records retained under the Privacy Policy. Google operates Calendar separately and may change its availability, permissions, and terms.

5B. Gmail and Connected Accounts

You may choose to connect a Google account to send mail from Nelson through Gmail. By connecting it, you authorize Nelson to use the permissions shown on Google's consent screen for the features described in our Privacy Policy. New connections request permission to send email; older connections may also have permission to read and sync inbox messages. You can review the connected account and disconnect it in Email Account Settings or revoke access through your Google Account.

You control the messages you send, their recipients, attachments, and your use of optional email and AI features. You must have the right to send each message and must comply with applicable email, privacy, and anti-spam laws, recipient preferences, and Google's applicable terms. Do not use Nelson or Gmail to send unsolicited bulk mail or to evade provider limits.

Google operates Gmail separately and may change its availability, permissions, or terms. Disconnecting Gmail stops Nelson's future access through the stored connection, but does not delete messages already sent or email records already stored in your Nelson workspace. Our Privacy Policy explains how to request access, export, or deletion of records held by Nelson.

6. Intellectual Property

The Service, including its design, features, and underlying technology, is owned byNelson OS and protected by intellectual property laws.

You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

Feedback you provide about the Service may be used by us without obligation to you.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Results from the Service will be accurate or reliable

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NELSON OS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nelson OS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

10. Termination

By You: You may terminate your account at any time by submitting an account-deletion request through Privacy & Data or by contacting support.

By Us: We may suspend or terminate your account immediately for violation of these Terms or for any other reason at our discretion.

Effect: Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable period following termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nelson OS.

Severability: If any provision is found invalid, the remaining provisions remain in effect.

Waiver: Our failure to enforce any right does not constitute a waiver of that right.

Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
